Welcome to theAIReply (“we”, “us”, “our”), a WhatsApp business automation platform operated by Capslock. Our Service includes the website theaireply.com and the web application app.theaireply.com.

These theAIReply terms of service (“Terms”) govern your access to and use of the Service. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.


1. Definitions

  • “Service” means the theAIReply website, web application, and related services provided by Capslock.
  • “User”, “you”, “your” means the individual or business that registers for or uses the Service.
  • “Account” means your registered theAIReply account.
  • “Content” means messages, contacts, templates, media, and other data you upload or send through the Service.
  • “WhatsApp” means the WhatsApp Business Platform provided by Meta Platforms Technologies.

2. Who may use the Service

You may use the Service only if:

  • You are at least 18 years old
  • You have the legal authority to enter into these Terms on behalf of yourself or your business
  • You use the Service for lawful business purposes
  • You comply with these Terms and all applicable laws

You are responsible for all activity under your Account.


3. Account registration

To use the Service, you must:

  • Provide accurate and complete registration information
  • Keep your login credentials secure
  • Notify us promptly at support@theaireply.com if you suspect unauthorized access

We may suspend or terminate Accounts that contain false information or violate these Terms.


4. The Service

4.1 What we provide

theAIReply helps businesses manage WhatsApp communications, including messaging, automation, campaigns, contacts, and related tools.

4.2 Service availability

We aim to keep the Service available, but we do not guarantee uninterrupted or error-free operation. Maintenance, updates, or third-party outages may cause temporary downtime.

4.3 Changes to the Service

We may add, modify, or remove features at any time. We will try to give reasonable notice for material changes that affect paid plans.


5. WhatsApp and Meta integration

5.1 Third-party platform

The Service integrates with WhatsApp and Meta services. Your use of WhatsApp is subject to Meta’s terms and policies, including WhatsApp Business Terms and Meta Platform Terms.

5.2 Your WhatsApp account

When you connect WhatsApp to theAIReply:

  • You authorize us to access your WhatsApp Business assets as permitted by Meta
  • You confirm you have the right to connect that WhatsApp Business account
  • You remain responsible for compliance with WhatsApp and Meta rules

5.3 WhatsApp charges

WhatsApp messaging fees, where applicable, are billed by Meta to your WhatsApp Business account, not by Capslock. You are responsible for those charges and for maintaining a valid payment method with Meta where required.

5.4 Message compliance

You must not use the Service to send:

  • Spam or unsolicited messages
  • Illegal, harmful, abusive, or misleading content
  • Messages that violate WhatsApp commerce or messaging policies

We may suspend or restrict your Account if we reasonably believe you are violating WhatsApp, Meta, or applicable messaging laws.


6. Acceptable use

You agree not to:

  • Use the Service for unlawful, fraudulent, or harmful activity
  • Impersonate another person or business
  • Interfere with or disrupt the Service or its security
  • Attempt to access another user’s Account without permission
  • Reverse engineer or copy the Service except where allowed by law
  • Use the Service to violate privacy, anti-spam, or telecommunications laws

You are solely responsible for the Content you send and the recipients you message.


7. Your content

7.1 Ownership

You retain ownership of your Content. You grant Capslock a limited license to host, process, transmit, and display your Content only as needed to provide and improve the Service.

7.2 Your responsibility

You represent that:

  • You have the right to use and share your Content
  • Your Content does not infringe third-party rights
  • You have obtained necessary consent to message your contacts where required by law

7.3 Content removal

We may remove or restrict Content that violates these Terms, applicable law, or third-party platform rules.


8. Subscription, billing, and payments

8.1 Paid plans

Some features may require a paid subscription. Prices and plan details are shown on our website or within the application.

8.2 Billing

If you purchase a paid plan:

  • You agree to pay all applicable fees
  • Fees may be billed in advance on a recurring basis unless stated otherwise
  • Taxes may apply where required by law

8.3 Failed payments

If payment fails, we may suspend or downgrade your Account until payment is resolved.

8.4 Refunds

Unless required by law or stated otherwise in a specific offer, fees are non-refundable once a billing period has started.


9. Free trials and promotions

We may offer free trials or promotional access at our discretion. We may change or end a trial or promotion at any time. When a trial ends, continued use may require payment.


10. Intellectual property

The Service, including software, branding, design, and documentation, is owned by Capslock or its licensors and is protected by intellectual property laws.

You may not use the theAIReply name, logo, or branding without our prior written permission, except as allowed in normal use of the Service.

12. Suspension and termination

12.1 By you

You may stop using the Service at any time. You may request Account closure by contacting support@theaireply.com.

12.2 By us

We may suspend or terminate your access if:

  • You breach these Terms
  • Your use poses legal, security, or operational risk
  • Required by law or a third-party platform such as Meta/WhatsApp
  • Fees are unpaid

12.3 Effect of termination

Upon termination:

  • Your right to use the Service ends
  • We may delete or deactivate your Account and Content after a reasonable period, subject to legal retention requirements
  • Sections that should survive termination will continue to apply

13. Disclaimers

The Service is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Capslock disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee:

  • That messages will always be delivered
  • That WhatsApp or Meta services will remain available
  • That the Service will meet all of your business requirements

14. Limitation of liability

To the fullest extent permitted by law:

  • Capslock shall not be liable for indirect, incidental, special, consequential, or punitive damages
  • Capslock shall not be liable for loss of profits, revenue, data, goodwill, or business interruption
  • Capslock’s total liability for any claim arising out of these Terms or the Service shall not exceed the amount you paid to Capslock in the 12 months before the event giving rise to the claim, or USD $100 if you have not paid any fees

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.


15. Indemnification

You agree to indemnify and hold harmless Capslock, its owners, employees, and affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your Content
  • Your violation of these Terms
  • Your violation of law or third-party rights, including WhatsApp/Meta policies

16. General terms

16.1 Governing law

These Terms are governed by the laws of Pakistan, without regard to conflict of law principles.

16.2 Disputes

Any dispute arising from these Terms or the Service shall be subject to the courts of Lahore, Pakistan, unless applicable law requires otherwise.

16.3 Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and update the “Last updated” date. Continued use of the Service after changes means you accept the updated Terms.

16.4 Entire agreement

These Terms, together with the Privacy Policy and any plan-specific terms, form the entire agreement between you and Capslock regarding the Service.

16.5 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.
